1. The Token of Expertise Viral Challenge (the “Challenge”) is an event organised by Expertier B.V., a company whose registered office is at Professor J.H. Bavincklaan 7, 1183 AT, Amstelveen, Netherlands (“Expertier”). The Challenge is open to individuals aged 16 and over, subject to paragraphs 2 and 3 below.
2. Employees or agencies of Expertier or their family members, freelance contributors to Expertier, advisors or anyone else connected with the Challenge may enter the Challenge, but cannot win the Grand Prize.
3. Participants in the Challenge shall be deemed to have accepted these terms and conditions.

3. Participants in the Challenge shall be deemed to have accepted these terms and conditions.
4. To enter the Challenge, you must register at the TOE Viral Challenge subscription page, hosted by Upviral.com.
5. Participants are responsible for all costs (if any) associated with participating in the Challenge.
6. The Challenge runs from the 1st of March 2022 08:00 CET until the 31st of March 2022 20:00 CET.
7. Only one entry is permitted per person.
Winner
8. The Overall Winner will be selected based on the most points earned on the 31st of March 2022 20:00 CET. Points can be earned by sharing and/or liking messages about the TOE Viral Challenge on social media, following social media pages of the Token of Expertise, downloading the Whitepaper of the Token of Expertise, signing up for the Challenge and/or let others sign up for the Challenge by using your unique participant link. All points are measured by Upviral.
9. To be eligible for winning a prize, participants must:
a) Include their correct and real first and last name, address and country of residence;
b) Earn the amount of points needed;
c) have a non-exchange crypto wallet that supports the token standard (Coinomi, MyEtherWallet or Metamask are recommended). Expertier reserves the right to prescribe additional guidance regarding specific wallet requirements.
The Prizes
10.
a) The Overall Winner will receive an iPhone 13 256GB.
b) Participants with at least 50 points, as measured by Upviral, will receive 500 (fivehundred) Tokens of Expertise (TOE). TOE is a blockchain based utility token which, after distribution, can be used only to access and use the Expert App Platform (to be launched later and as mean of payment within the Expert App Platform and is not intended to be used as an investment.
11. There will be no transfer, assignment, cash redemption, or substitution of prizes (or portion thereof) except by Expertier, which reserves the right to substitute a prize (or applicable portion thereof) with one of comparable or greater value, at its sole discretion. The participant acknowledges and accepts that receiving and storing TOE involves various risks, in particular (but not limited to) the risk that Expertier may not be able to launch its platform and/or its operations, to develop or exploit its tokens and/or to provide the services to which TOE relates or is forced (in particular due to changes in the legal environment and/or issuance of new laws or regulations and/or new leading interpretation of current legal framework and/or case law, which might also have a retroactive effect) to stop its operations or change its business model.
12. All federal, state, and local taxes (including income and withholding taxes, if any) and all other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded are the Winners’ sole responsibility,
13. All Winners will be notified by Expertier via email before 17:30 CET on the 10th of April 2022 and given details of how to claim their prize. If the Overall Winner does not respond to Expertier within 30 days of being notified of their win, then the prize will be forfeited, and the second best will be selected as Overall Winner using the process referred to in paragraph 8 (the newly-selected Overall Winner will also have to respond to notification of their win within 30 days or else they will also forfeit the prize). If a selected Overall Winner rejects the prize or their participation is found by Expertier to be invalid or in breach of these terms, then the Overall Winner’s prize will be forfeited and given to the next user with the most points using the process referred to in paragraph 8. All decisions regarding validity and/or breach of terms will be made by Expertier in its sole discretion and any such decisions will be final.
14. By participating in the Challenge, you grant Expertier:
a. Permission for your participation to be published on Expertier websites including but not limited to, www.tokenofexpertise.com as well as on any social media account controlled by Expertier, including but not limited to Facebook, LinkedIn and Twitter accounts, and you further grant Expertier a non-exclusive, irrevocable, royalty-free, worldwide, perpetual licence (with a right to sub-license) to use, republish, edit and/or modify your Challenge participation in any media (including in electronic format, hard copy and in Expertier publications) for purposes connected with the Challenge and as described in these Terms and Conditions; and
b. The right to use your name and country of residence for the sole purpose of identifying you as Winner in the Challenge.
15. You also hereby waive and agree not to assert any and all moral rights arising from or connected with your participation in the Challenge.
16. Participation on behalf of another person will not be accepted and joint submissions are not allowed.
17. No purchase is necessary.
18. The Winners may be required to take part in promotional activity related to the Challenge and the Winners shall participate in such activity on Expertier’s reasonable request. The Winners consent to the use by Expertier and its related companies, both before, during and for an unlimited time after the closing date of the Challenge, of the Winners’ profile pictures and name for publicity purposes (in any medium of Expertier’s choosing, including pictures and films, and on the internet, including any websites hosted by Expertier and its related companies) and in advertising, marketing or promotional material without additional compensation or prior notice and, by entering the Challenge, all participants consent to the same.
19. Expertier shall use and take care of any personal information you supply to it as described in its privacy policy, and in accordance with applicable data protection legislation. By entering the Challenge, you agree to the collection, retention, usage and distribution of your personal information in order to process and contact you about your Challenge participation, and for the purposes outlined in these terms and conditions.
20. Expertier will not share participants’ details to third parties, except if required by law.
21. Expertier accepts no responsibility for any damage, loss, liabilities, injury or disappointment incurred or suffered by you as a result of participating in the Challenge or accepting any prize. Expertier further rejects liability for any injury or damage to your or any other person’s computer relating to or resulting from participation in or downloading any materials in connection with the Challenge.
22. Expertier reserves the right at any time to modify in form or fashion or alternatively discontinue, temporarily or permanently, this Challenge with or without prior notice due to reasons outside its reasonable control (including, without limitation, in the case of anticipated, suspected or actual fraud). The decision of Expertier in all matters relating to the Challenge is final and binding and no correspondence will be entered regarding the validity thereof.
23. Expertier shall not be liable for any failure to comply with its obligations relating to this Challenge where the failure is due to circumstances outside its reasonable control. Such circumstances include, but are not limited to, weather conditions, fire, flood, hurricane, strike, industrial dispute, war, hostilities, political unrest, riots, civil commotion, inevitable accidents, supervening legislation or any other circumstances amounting to force majeure.

25. The Challenge and these terms and conditions will be governed by Dutch law and participants to the Challenge submit to the non-exclusive jurisdiction of the Dutch courts.
